The Foundation is a membership-free Idaho nonprofit corporation governed entirely by its Board of Directors.
The Board sets research priorities, oversees the Foundation's charitable and scientific programs, and holds fiduciary responsibility for its assets. The Articles of Incorporation provide for a Board of not fewer than three and not more than seven directors. At launch the Board seats four members — the founder, a second director, and two Independent Directors who satisfy the independence criteria of the Bylaws. The Board maintains conflict-of-interest, self-dealing-compliance, investment, gift-acceptance, and open-publication policies consistent with the requirements applicable to a private operating foundation under IRC §4942(j)(3).
